1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and King's Cross Labs, Inc., a Delaware corporation located at 175 West 90th Street, New York, NY 10024 ("King's Cross Labs," "we," "us"). They govern your access to and use of Adeli — our website at tryadeli.com, the Adeli API, the dashboard, our Model Context Protocol (MCP) server, our agent skills, and any related service (together, the "Service").
By creating an account, receiving an API key, connecting a social account, or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service. If you are agreeing on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization.
You must be at least 16 years old to use the Service.
The Service uses YouTube API Services. By using the Service, including by connecting a YouTube channel or using any YouTube feature of the Service, you agree to be bound by the YouTube Terms of Service. Google's handling of data accessed through YouTube API Services is governed by the Google Privacy Policy, and our own handling of it is described in Section 7.3 of our Privacy Policy.
2. Description of Service
Adeli is a single API for publishing, scheduling, and measuring posts across social platforms. Depending on how you use it, the Service lets you connect social accounts, submit content for immediate or scheduled publication, receive delivery status and webhooks, read back the performance metrics each platform exposes for the connected account, and do all of the above from an AI assistant through our MCP server, an agent skill, or the API directly.
What Adeli is not. The Service does not allow the sending of outbound or unsolicited messages, and does not create, manage, or spend money on advertising campaigns. If we add capabilities of that kind, we will update these Terms and our Privacy Policy before doing so.
We maintain the developer applications on each supported platform and handle the platform review processes and token refresh cycles. Supported platforms are listed on our website and change over time.
The Service evolves. We may add, change, or remove features. We will not make a change that materially degrades a paid feature you are actively paying for without notice under Section 19.
3. Accounts, API Keys, and Security
You must provide accurate information when you create an account and keep it current. You are responsible for safeguarding your credentials and API keys and for all activity that occurs under your account, including everything published through it. Notify us promptly at ask@tryadeli.com if you suspect unauthorized access, and rotate the affected key.
You may not share credentials, sell or transfer your account, or let another organization use an API key issued to you, except as permitted under Section 4.
4. Building on Adeli for Your Own Users
You may embed the Service in your own product so that your users can connect their own social accounts. If you do, you are responsible for the relationship with those users, and you agree that:
- You will publish your own privacy notice describing what you collect through the Service and how you use it, and you will obtain any consent required before a user connects a social account.
- You will pass through to your users the substance of Sections 5, 7, and 8 of these Terms and the terms of each platform they connect, and you will not represent that King's Cross Labs has obligations to them that we do not have.
- You will not use the Service to connect an account without that account holder's informed authorization, and you will disconnect any account whose holder withdraws it.
- You are the controller of your users' personal data and we act as your processor, on the terms described in Section 10 and Section 2 of our Privacy Policy.
- You remain responsible under these Terms for everything your users do through your integration, including the content they publish.
You may not resell bare access to the Service — that is, offer the API itself as a standalone product substantially equivalent to Adeli — without our written consent. Building a product that uses Adeli as a component is exactly what the Service is for.
5. Connected Platform Accounts
Publishing requires authorizing King's Cross Labs to act on an account held on a third-party platform — for example Instagram, Facebook, TikTok, YouTube, or Reddit.
You represent and warrant that:
- Every account connected is owned or lawfully administered by you or by the user who connected it, with the right to grant the access granted.
- Connecting the account and letting us publish to it and process its data does not violate that platform's terms or any agreement with a third party.
- Any account that ceases to be authorized will be disconnected promptly.
Each platform's own terms also govern your use. YouTube features are subject to the YouTube Terms of Service and the Google Privacy Policy. Instagram and Facebook features are subject to the Meta Platform Terms, and TikTok features to the TikTok Developer Terms. Reddit features are subject to Reddit's Data API Terms, Developer Terms, Responsible Builder Policy, and Reddit Rules. Content you publish must also comply with each platform's community guidelines and content policies. A platform may reject, remove, or restrict content, or suspend an account, under its own rules, and that is between you and the platform.
Additional requirements for Reddit
Where the Service offers Reddit features, the following apply to you and, under Section 4, to every user of your product who connects a Reddit account. They apply in addition to the rest of these Terms.
- Every action is initiated by a person. Each Reddit post, comment, edit, and deletion must result from an explicit action by the holder of the connected Reddit account. A post may be scheduled only if the account holder wrote or approved it. Content may not be generated and published to Reddit unattended, including by an AI assistant or agent acting under Section 9.
- No spam. Each post goes to one subreddit. You may not publish identical or substantially similar content to more than one subreddit, and we may block a post that would. Content must follow the rules of the subreddit it is posted in, including its flair, post-type, and self-promotion rules.
- No manipulation. You may not use the Service to manipulate votes or karma, to circumvent a ban, block, or other Reddit safety or enforcement mechanism, or to operate an account as a bot.
- Reddit data stays with its account holder. Reddit data returned through the Service may be shown only to the holder of the Reddit account it belongs to. You may not sell, license, share, or aggregate it across accounts; use it to train, fine-tune, or evaluate machine learning or AI models; use it for advertising targeting or to build profiles of Reddit users; infer sensitive characteristics such as health, political affiliation, or sexual orientation; or match it to identifiers outside Reddit.
- Deletion. When a Reddit account is disconnected or its holder revokes access, we delete its tokens and the Reddit data we hold for it, and you must delete any Reddit data you received for it. When content is deleted on Reddit, you must delete your copy of it.
- Enforcement. We monitor Reddit activity across the Service. We may suspend your Reddit access, or a user's, without prior notice where needed to protect the Service's standing with Reddit, including where posts are removed or reported at unusual rates.
Third-party platforms control their own APIs. They may change, rate-limit, deprecate, or revoke access at any time, and we are not liable for a resulting loss of functionality or for content that fails to publish as a result. Any account may be disconnected at any time.
6. API Usage and Limits
You may use the API, MCP server, and skills only in accordance with the documentation and any rate limits or quotas we publish or assign to your account. Limits exist partly because the platforms impose their own, and exceeding theirs can put every customer's access at risk.
You may not:
- Exceed, evade, or attempt to circumvent rate limits or quotas
- Share, resell, or sublicense your API credentials
- Use automated means to scrape, mirror, or bulk-extract data from the Service beyond what the documented interfaces permit
- Use the Service to build or assist a product that competes with the Service, or to benchmark it for a competitor without our written consent
Sustained abuse may result in throttling, suspension, or termination. Where the situation allows it, we will contact you before suspending access.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, or any third party's rights
- Publish, generate, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, deceptive, or that infringes intellectual property rights
- Send spam, engage in coordinated inauthentic behavior, operate bot or sock-puppet account networks, or artificially inflate engagement
- Publish to an account you do not own or are not authorized to administer, or read the data of such an account
- Circumvent a platform's posting limits, content review, or enforcement actions
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures, without our prior written permission
- Interfere with or disrupt the Service, its infrastructure, or other users
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law
- Use platform data obtained through the Service for surveillance, or to make decisions about a person's eligibility for credit, insurance, employment, housing, or a similar benefit
We do not pre-screen content submitted to the Service, but we may review content and account activity where we have reason to believe this section has been breached, and we may refuse to publish or may remove content that breaches it.
8. Your Content
You own your content. You retain all rights to the content you submit for publication and to the data we sync from connected platforms ("Your Content"). We claim no ownership over it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, reformat, and process Your Content solely to provide, secure, and support the Service — which necessarily includes transmitting it to the platforms you direct us to publish to, and adapting it to each platform's required format, dimensions, or length. This license ends when you delete the content or close your account, subject to the retention periods in our Privacy Policy.
We do not train models on Your Content. We do not use Your Content to train generalized machine learning or AI models, and we do not permit our subprocessors to do so.
You are responsible for Your Content, including that you hold the necessary rights to it, that publishing it is lawful, and that it complies with the policies of every platform you publish it to.
Publishing is not reversible by us. Once content is delivered to a platform it is public and outside our control. Deleting it from Adeli does not delete it from the platform; you must delete it there.
9. AI Assistants and Automated Access
You may authorize an AI assistant or agent to use the Service on your behalf. If you do:
- Authorization is account-wide. An authorized assistant can publish, schedule, and cancel posts on any account connected to yours, except where a platform requires a person to approve each action, as Reddit does under Section 5.
- You are responsible for everything the assistant does under your authorization, to the same extent as if you had done it yourself. Content an agent publishes is Your Content.
- The assistant is operated by a third party under its own terms. We are not responsible for its behavior or for how it handles data once that data leaves our systems.
- You can revoke an authorization at any time from the dashboard or by deleting the relevant API key. Revocation takes effect immediately but does not un-publish what was already published.
10. Data Protection and Subprocessors
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms.
Where we process personal data on your behalf as a processor — which is the case for your users' data under Section 4 — we will: process it only on your documented instructions; keep it confidential; apply appropriate technical and organizational security measures; use only subprocessors bound by equivalent obligations, maintaining a current subprocessor list in the Privacy Policy; assist you with data subject requests and breach notification to the extent reasonable; and delete or return the data on termination, subject to legal retention requirements.
If you require a signed Data Processing Agreement or Standard Contractual Clauses, email ask@tryadeli.com and we will provide them.
11. Fees and Billing
Access to the Service may be free, may be metered, or may be sold on a plan. The fees that apply to you are the ones shown on our pricing page at the time of purchase or set out in a separate written order or agreement between us. Where a written order and these Terms conflict on price, term, or scope, the order controls.
- Fees are stated in U.S. dollars and exclude taxes, which you are responsible for except for taxes on our income.
- Where a plan renews, it renews automatically for the same interval until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
- Fees already paid are non-refundable except where required by law or where we state otherwise in writing.
- We may introduce or change pricing with at least 30 days' notice. A change takes effect at your next renewal, and you may cancel before then.
- If a payment fails, we may suspend access until it is resolved.
Payments are processed by our payment processor. We do not store full payment card numbers on our systems.
12. Intellectual Property
The Service, and all software, designs, text, documentation, and other materials we provide — excluding Your Content — are owned by King's Cross Labs and protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes and, where Section 4 applies, to provide your product to your users. All rights not expressly granted are reserved.
Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
13. Third-Party Services and AI Output
The Service integrates with third-party platforms and, where you use them, AI model providers operating under their own terms. We are not responsible for those services or for their availability, accuracy, or practices.
AI output. Where a feature or an authorized assistant generates content, analysis, or recommendations, it uses automated systems that can be inaccurate, incomplete, or misleading. Output is provided for your evaluation and is not professional, legal, financial, or marketing advice. You are responsible for reviewing output before it is published or acted on.
14. Availability and Delivery
We work to publish and schedule reliably, and we retry failures where a platform allows it. We do not guarantee that any given post will be delivered, delivered on time, or delivered at all, and we do not currently offer a service level agreement. Delivery depends on third-party platform availability, their rate limits, their content reviews, and the correctness of the payload you send.
Where a post fails, we return a per-platform status and a webhook so you can respond. You are responsible for handling those failure states in your own product.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that any post will publish successfully, or that data synced from a third-party platform will be complete or accurate. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES LOSSES ARISING FROM A POST THAT FAILED TO PUBLISH, PUBLISHED LATE, OR PUBLISHED IN ERROR, AND FROM ANY ACTION A PLATFORM TAKES AGAINST AN ACCOUNT.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply to liability that cannot be excluded or limited by law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence. They also do not limit your payment obligations or either party's indemnification obligations under Section 17.
17. Indemnification
You will defend, indemnify, and hold harmless King's Cross Labs and its officers, directors, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of or relating to: (a) Your Content, including anything published through your account or by an assistant you authorized; (b) your use of the Service in breach of these Terms or applicable law; (c) the connection of a platform account that was not authorized; (d) your violation of a third-party platform's terms or content policies; or (e) a claim brought by one of your users relating to your product or your handling of their data.
We will defend, indemnify, and hold you harmless from any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights.
The indemnifying party's obligations are conditioned on the other party promptly notifying it of the claim, giving it sole control of the defense and settlement, and providing reasonable cooperation.
18. Term, Suspension, and Termination
These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time from the dashboard or by emailing us.
We may suspend or terminate your access if you materially breach these Terms, if your use creates a security, legal, or operational risk, if a platform requires it, if required by law, or if you fail to pay. Except where the breach is severe, unlawful, or poses an immediate risk — including risk to our standing with a platform — we will give you notice and a reasonable opportunity to fix the problem before terminating.
On termination, your license to use the Service ends, scheduled posts that have not yet been delivered are cancelled, and we will delete Your Content in accordance with the retention schedule in our Privacy Policy. Content already published to a platform is unaffected. You may export Your Content before termination, and for 30 days afterward on request. Sections 8, 12, 15, 16, 17, 19, and 21 survive termination.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and waive any objection to venue there.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing 30 days to reach a resolution. Nothing in this section prevents either party from seeking injunctive relief, or a consumer from bringing a claim in small claims court or in the courts of their country of residence where the law gives them that right.
20. Changes to These Terms
We may update these Terms. We will post the updated version at this address and revise the "Last updated" date. For material changes, we will give you at least 30 days' notice by email or through the Service before they take effect. Continued use after the effective date means you accept the updated Terms; if you do not, stop using the Service and cancel your account before then.
21. General
These Terms and the Privacy Policy are the entire agreement between you and King's Cross Labs regarding the Service, and supersede any prior agreement on that subject. If a provision is held unenforceable, the rest remains in effect and the provision is modified to the minimum extent needed to make it enforceable. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for a delay or failure caused by events beyond its reasonable control. There are no third-party beneficiaries to these Terms.
